Sales Conditions


The following general sales conditions are an integral part of all our supply contracts for materials, even when orders are taken by phone, verbally, by fax, email, or via the internet, and they fully replace any different terms and conditions.


I. Exella Europe

Exella Europe srl produces and markets semi-finished metal parts (obtained through chemical photostamping, micro-casting, laser cutting, electroforming, and other techniques) in copper, iron, aluminum alloys, and steel, produced according to the design, sample, or other specifications of the Customer.

The company has its main and tax office in Romania, Strada Balastierei 12a, 407035 Apahida, Cluj, tax code and VAT number RO21936165, registered with the Cluj Napoca Chamber of Commerce under J12/2697/07.

The representative offices and production units located in other countries do not represent the tax office of the company.


II. Customers

Exella Europe srl produces and markets Exella-branded products exclusively to a professional clientele.

The customer ensures that the purchase of Exella products is made for exclusively professional purposes, that is, related to their work activities. The relationship between Exella Europe and the customers will therefore not be governed by consumer protection regulations.


III. Prices

The prices of the products indicated in price lists, offers, and other Exella publications are expressed in Euros (€), do not include VAT, and are generally understood to be per piece or sheet, unless otherwise indicated. The sheets may contain multiple individual pieces or sets of pieces.

Exella Europe srl reserves the right to change the characteristics and prices of products, systems, and shipping methods without any prior notice.


IV. Request for Quotes

Any requests for quotes do not in any case represent a "binding sales order." Following such requests, the company will only act to provide the information requested.


V. Purchase Proposals

Customers already in possession of one or more item codes may submit purchase proposals. Such proposals do not in any way represent a purchase contract, as they are simply proposals whose finalization is subject to the acceptance of Exella Europe srl. The company reserves the right not to accept orders below 100 Euros, excluding VAT and shipping.


VI. Orders

Orders are considered concluded and accepted only in the following cases:

1. when Exella receives the confirmed offer from the Customer for acceptance, within 5 days of issuance, which will be considered accepted in all its parts.

2. when the Customer receives the order confirmation, which in the absence of communication within the following 24 hours will be considered approved and accepted in all its parts.

The validity of the order is, however, conditioned upon the Customer's fulfillment of the payment terms indicated on the quote or order confirmation.

Confirmed orders will immediately enter production and can no longer be canceled.

The ordered material will be produced according to the specifications and general tolerances published on the website www.exella.com, unless specific agreements are made.

The designs and layouts, also referred to as 'digital artwork process', created for the production of the items, will not be delivered or returned.


VII. Delivery Times

The indicative delivery times are communicated in the offer or order confirmation. Exella Europe srl reserves the right to a reasonable extension of the delivery time if force majeure causes or circumstances not attributable to it delay the timely delivery of the goods or in the event that the Customer is late with payment, including for previous supplies. A delay in delivery does not authorize the Customer to reject the order or request compensation for damages.


VIII. Invoices

The invoice will be sent along with the shipment of the products. A copy can be requested, which will be sent in digital format via email.

Exella Europe srl is not subject to Italian regulations for electronic invoicing.


IX. Payments

All payments, unless otherwise agreed and approved in writing by Exella Europe srl, must be made in advance at the time of the order. In any case, Exella Europe srl reserves the right to revoke at any time the payment terms granted to the Customer.

In all cases where the Customer exceeds the credit limit possibly granted by Exella Europe srl, the latter reserves the indisputable right to suspend the fulfillment of all orders that exceed the value of the granted credit.

Payment by the Customer will be made using the methods indicated in the offer or order confirmation, using the following instruments:

- Payment by bank transfer

- Payment by credit card

- Payment with PayPal

In case of non-payment beyond the agreed terms, actions for forced recovery of the credit will be undertaken, including through external companies, with the consequent increase in costs borne by the Customer.


X. Shipping

The goods are delivered free at the Exella Europe srl headquarters (Cluj Napoca, Romania). Unless otherwise agreed, shipping is done free of charge with transportation costs charged on the invoice.

The material travels at the risk and peril of the client even if shipped free of charge. The customer is required to examine the integrity, weight, and number of packages before accepting the goods. Any disputes must be reported directly to the shipper.


XI. Complaints

The customer is always required to carry out a thorough inspection of the received products immediately after delivery.

Any complaints or disputes regarding the supplied products must be sent to the Exella Europe srl headquarters or to the branch offices by letter, fax, or email within ten days from the date of receipt of the goods. Products recognized as defective at the origin must be returned to the factory properly packaged at the customer's expense, and will be replaced with equivalent products of the same type. If replacement is not possible for technical reasons, a credit note will be issued to cover the price paid by the customer for the defective products.

In no case shall Exella Europe srl be held responsible for consequences due to special, consequential, indirect, or similar damages, including loss of profits. In no case shall the liability of Exella Europe srl exceed the price paid by the customer for the product.


XII. Jurisdiction and competent court

For everything not expressly provided for in these general conditions, the provisions of the applicable laws shall apply. Any dispute related to the application, execution, interpretation, and violation of the purchase contracts entered into shall be subject to Romanian jurisdiction. The Cluj-Napoca court (Romania) shall have jurisdiction over any dispute.


XIII. Confidentiality of projects

Personal data, as well as drawings, preliminary designs, originals, executables, and all materials used for the execution of the assignment shall be used only for strictly necessary purposes, in compliance with legal regulations, and shall not be communicated to third parties in any way, unless prior written consent is obtained from the interested party.


XIV. Use of the site and cookies, confidentiality, and data processing
